§1 Privacy Policy

GDPR // EU 2016/679

§1.1 Controller. CodeMatrixForge, 50997 Neu Engeldorfer Weg 5 Köln, Germany, is the data controller for personal data processed via this website. Contact: [email protected].

§1.2 Categories of data. We process contact details you submit (name, email, phone, company, project brief), technical logs (IP address, user agent, timestamps), and payment metadata handled by our payment processor. We do not intentionally collect special-category data under Article 9 GDPR.

§1.3 Purposes and legal bases. Contact requests are processed to take pre-contractual steps at your request (Art. 6(1)(b) GDPR). Service delivery and invoicing rely on contract performance (Art. 6(1)(b)). Security logging and abuse prevention rely on legitimate interests (Art. 6(1)(f)). Cookie-related analytics, where enabled, run only after consent (Art. 6(1)(a)).

§1.4 Retention. Inquiries are retained for up to 24 months after the last meaningful exchange unless a longer statutory retention period (e.g., commercial and tax records under German law, typically 6–10 years) applies to related contracts or invoices.

§1.5 Recipients. Data is shared only with processors needed to operate the service: hosting and CDN providers, email delivery, our payment provider for Stripe payment links, and professional advisors under duty of confidentiality. Processors act under data processing agreements.

§1.6 International transfers. Where a processor operates outside the EEA, transfers rely on European Commission adequacy decisions or Standard Contractual Clauses with supplementary technical safeguards.

§1.7 Your rights. You may request access, rectification, erasure, restriction, portability, and object to processing under Arts. 15–21 GDPR. Where processing relies on consent, you may withdraw it at any time without affecting prior processing. You may lodge a complaint with a supervisory authority, in particular the Landesbeauftragte für Datenschutz und Informationsfreiheit Nordrhein-Westfalen.

§1.8 CCPA notice (California). California residents may request disclosure of categories of personal information collected, request deletion, and opt out of any “sale” or “sharing” as defined by the CCPA/CPRA. We do not sell personal information. Requests may be sent to [email protected]; we respond within the periods required by law and will not discriminate against you for exercising rights.

§2 Terms of Service

Commercial Terms

§2.1 Scope. These terms govern services offered by CodeMatrixForge, 50997 Neu Engeldorfer Weg 5 Köln, Germany, including full-stack platform builds, API gateway engineering, performance work, and ops retainers. Individual statements of work (SOW) prevail where they expressly conflict with these general terms.

§2.2 Formation. A contract is formed when we confirm your project brief in writing (email accepted) or when you purchase a fixed-price service via our payment link. Prices are stated in USD unless an SOW specifies otherwise; VAT, if applicable, is added as required by law.

§2.3 Delivery and cooperation. Timelines assume timely provision of access, content, credentials, and feedback. Delays in client input extend milestones day-for-day. Acceptance occurs on explicit sign-off or, if none is required, upon deployment and five business days without a material defect notice.

§2.4 Intellectual property. Upon receipt of full payment, CodeMatrixForge assigns to the client all rights in client-specific deliverables created under the SOW, excluding pre-existing tools, libraries, and know-how, which are licensed to the client on a perpetual, non-exclusive basis as needed to use the deliverables.

§2.5 Client warranties. You warrant that materials you supply (copy, media, trademarks, data) do not infringe third-party rights and that you have authority to provide them for project use.

§2.6 Warranties and liability. Services are performed with professional care. For commercial clients, statutory warranty claims are limited to re-performance; where re-performance fails, damages are limited to foreseeable, typical loss, excluding indirect or consequential damages, except in cases of intent or gross negligence or where mandatory liability (e.g., personal injury) applies. Consumers retain non-waivable statutory rights.

§2.7 Governing law. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for merchants is Köln, provided no mandatory consumer venue applies. The EU Online Dispute Resolution platform is available; we prefer direct resolution via [email protected].

§3 Cookie Policy

Storage // Browser

§3.1 What cookies are. Cookies and similar technologies are small files stored on your device to remember preferences, keep sessions secure, and measure aggregate performance. This policy explains how CodeMatrixForge, 50997 Neu Engeldorfer Weg 5 Köln, Germany, uses them.

§3.2 Strictly necessary. We use essential storage to operate core site functions, including remembering your cookie-banner choice (localStorage key cookie_accepted) and protecting forms against abuse. These do not require consent under ePrivacy rules because they are necessary to provide the service you request.

§3.3 Preference and analytics. If optional analytics or embedded map preferences are enabled, they run only after you consent via the banner. You can clear cookies and site data through your browser settings at any time; declining optional cookies does not block core pages.

§3.4 Third-party embeds. The contact page may load a Google Maps iframe. Google may set cookies when the map is displayed; this is governed by Google’s own policies. You can avoid third-party embeds by contacting us directly at [email protected] or by phone.

§3.5 Managing cookies. Major browsers let you block or delete cookies. Blocking strictly necessary storage may degrade banner persistence and form security but will not prevent reading this site.

§3.6 Updates and contact. We may update this Cookie Policy when tooling changes; the revision date at the top of this document will update accordingly. Questions: [email protected].

§4 Refund Policy

Billing // Reversal

§4.1 Fixed-price projects. Payments to CodeMatrixForge for fixed-price engagements are non-refundable once work has started or resources have been reserved, except as stated here or where mandatory law provides otherwise (including statutory withdrawal rights for consumers within 14 days where applicable to distance contracts).

§4.2 Milestone schedule. Deposits secure scheduling and are non-refundable after the kickoff date. Remaining balances are due according to the SOW. If you cancel mid-project, fees for completed milestones and committed third-party costs remain payable; unused prepaid hours for the current sprint may be refunded pro rata within 14 days of cancellation notice.

§4.3 Retainers. Monthly ops retainers renew automatically for successive monthly terms. You may cancel before the next billing date; the current month is non-refundable once billed. We may terminate a retainer with 30 days’ written notice and will refund any prepaid unused full days of the final month.

§4.4 Defective delivery. If deliverables materially deviate from an agreed SOW and we fail to cure within a reasonable remedy period after written notice, you may request proportional price reduction or termination for cause with refund of amounts paid for the uncured portion, without prejudice to other statutory rights.

§4.5 Payment failures and chargebacks. Failed payments may suspend access to staging or monitoring systems until resolved. Please contact us before initiating a chargeback; disputes are resolved faster directly at [email protected].

§4.6 How to request a refund. Email [email protected] with the invoice reference, project name, and reason. Approved refunds are issued to the original payment method within 10 business days of approval, excluding non-refundable payment-processor fees where applicable.
